**1. Introduction**

These Terms and Conditions ("Terms") govern your participation in the "The $5000.00 Lobby Technology Makeover" AKA "Tech my Lobby" Sweepstakes (the "Sweepstakes"), sponsored by Agile Ticketing Solutions, LLC ("Agile Ticketing Solutions," "we," "us," or "our"). By entering the Sweepstakes, you ("Participant," "you," or "your") agree to comply with these Terms. Please read these Terms carefully before entering the Sweepstakes.

 

**2. Eligibility**

The Sweepstakes is open to legal residents of the United States who are at least 18 years old at the time of entry. Employees, contractors, directors, officers, and affiliates of Agile Ticketing Solutions and their immediate family members are not eligible to participate.

 

**3. Entry Period**

The Sweepstakes entry period begins on September 1, 2023, and ends on December 10, 2023, at 12:00PM Noon Central-Time. Entries received after the specified end date will not be considered.

 

**4. How to Enter**

To enter the Sweepstakes, follow the instructions provided on the Sweepstakes landing page. Only one entry per person is allowed. Multiple entries will result in disqualification.

 

**5. Prize**

The prize is a lobby technology makeover valued at $5000 ("Prize"). The Prize package includes a point-of-sale system for the box office, a point-of-sale system for concessions and merchandise, and two digital signage screens for the lobby. Prize installation covers digital signage only; any drilling, screwing, or hammering required must be performed by a licensed contractor, potentially requiring union certification. Agile Ticketing Solutions will not cover installation costs.

 

**6. Software Integration**

The winning venue must switch to Agile Ticketing Solutions for ticketing and membership services. Agile Ticketing Solutions will waive implementation costs for software integration. However, additional services like venue seat mapping and existing gift card data consumption may incur fees, which will be quoted upon project assessment.

 

**7. Drawing and Winner Notification**

Drawings will be conducted on the last day of each month during the Sweepstakes period. Winners will be randomly selected from eligible entries received. Winners will be notified via email or phone within 10 days following each drawing. If a winner cannot be reached or does not respond within 10 days, an alternate winner may be selected.

 

**8. Cancellation**

Agile Ticketing Solutions reserves the right to cancel or modify the Sweepstakes at any time, with or without prior notice. If the Sweepstakes is canceled, no compensation or substitution will be provided.

 

**9. Photography Usage**

By participating in the Sweepstakes, you grant Agile Ticketing Solutions the right to use any digital photography associated with the event, promotion, or sweepstakes for marketing and promotional purposes without compensation.

 

**10. Legal Compliance**

The Sweepstakes adheres to the legal requirements of the 50 states for contests and sweepstakes. Participants are responsible for compliance with local laws and regulations.

 

**11. Limitation of Liability**

Agile Ticketing Solutions and its partners are not responsible for any loss, injury, or damage arising from participation in the Sweepstakes, acceptance, or use of the Prize. By entering, participants release and hold Agile Ticketing Solutions harmless from any claims, liability, or damages.

 

**12. Governing Law and Venue**

These Terms and the Sweepstakes shall be governed by and construed in accordance with the laws of the state of Tennessee, without regard to its conflict of laws principles. Any disputes arising from or in connection with the Sweepstakes shall be subject to the exclusive jurisdiction of the state and federal courts located in Tennessee.

**14. Entire Agreement**

These Terms constitute the entire agreement between you and Agile Ticketing Solutions regarding the Sweepstakes, superseding any prior agreements or understandings.
